Practice Area

Corporate and Commercial Law

Company formation, mergers, divisions, changes of legal form and commercial contracts.

Corporate law governs the incorporation, management, shareholder relations, mergers, demergers, conversions and liquidation of commercial companies. Commercial law covers all legal relationships arising from the activities of commercial enterprises. In this area, preventive legal support, meaning getting contracts and internal company arrangements right from the outset, is decisive in avoiding future disputes and costs.

Incorporation and management

  • Incorporation of joint stock and limited liability companies; drafting and amending articles of association
  • Capital increases and reductions, share transfers and restrictions on share transfers
  • Preparing general assembly and board meetings in compliance with the law and drafting resolutions
  • Shareholders' agreements and processes for withdrawal and exclusion of shareholders

Shareholder disputes

  • Actions to annul general assembly resolutions that breach the law, the articles of association or, in particular, the principle of good faith, filed within three months of the resolution before the commercial court of first instance at the company's registered office (Turkish Commercial Code Art. 445)
  • Actions concerning the liability of directors and managers
  • Disputes concerning shareholders' rights to information and inspection

Commercial contracts

  • Sale, supply, distribution, dealership, franchise and agency agreements
  • Service, confidentiality and cooperation agreements
  • Lease and financial leasing agreements
  • Negotiation of contracts, risk analysis and drafting of dispute resolution clauses

Commercial disputes

  • For commercial actions concerning a sum of money, namely receivables, compensation, annulment of objection, negative declaratory and restitution actions, applying to a mediator before filing suit is a precondition (Turkish Commercial Code Art. 5/A).
  • Unfair competition actions: misleading conduct and commercial practices contrary to good faith that affect relations between competitors or between suppliers and customers are unfair and unlawful (Turkish Commercial Code Art. 54).
  • Disputes arising from cheques, promissory notes and other negotiable instruments

Restructuring and liquidation

Mergers, demergers and conversions; concordat proceedings for companies in financial difficulty; and liquidation and deregistration from the trade registry also fall within this area.
